Royal Orchid Hotels Limited (ROHL) has confirmed the successful execution of a definitive agreement to sell its subsidiary, Multi Hotels Limited to Greenleaf Properties Limited. The agreement was executed on January 29, 2026, following the company’s earlier disclosure to the stock exchanges. As a result of the transaction, Multi Hotels Limited ceased to be a subsidiary of Royal Orchid Hotels Limited with effect from the same date.
The divestment is aligned with ROHL’s broader strategy of optimising its portfolio, strengthening its balance sheet, and sharpening focus on core hospitality operations across priority markets. Multi Hotels Limited had not commenced commercial operations, and the sale enabled Royal Orchid to unlock value while redeploying capital towards higher-growth opportunities.
Transaction Value and Structure
The total consideration for the sale of 100% equity in Multi Hotels Limited stands at $3.41 million (approximately $3,412,500). The proceeds from the transaction will be received in instalments within 120 days from the date of execution of the agreement, the company said.
Greenleaf Properties Limited operates as an independent entity, and the transaction was completed on an arm’s-length basis in compliance with all applicable regulatory requirements. As part of the deal, Chander K. Baljee, Chairman & Managing Director of Royal Orchid Hotels Limited, also transferred his minority shareholding in Multi Hotels Limited along with the company’s stake.

He added that the transaction allows Royal Orchid to remain focused on opportunities that closely align with its growth vision as it continues to expand and strengthen its core hospitality footprint.
Royal Orchid Hotels Limited continues to pursue growth through a balanced mix of owned, leased, managed, and franchised properties. The company remains confident about its long-term outlook, supported by sustained demand in India’s travel and tourism sector, the release added.
